Terms of Service

These Terms of Service ("Terms") govern the provision of services and products by SECURIX LIMITED ("SECURIX", "we", "us") to a client ("you"). They apply to our cybersecurity consulting engagements and to our products Nightprill, Scrytide and Coldshim. By subscribing to a product, or by accepting a proposal or engagement letter, you agree to these Terms. Where a signed agreement exists between you and SECURIX, that agreement prevails over these Terms in the event of conflict.

1. Definitions

• Services — cybersecurity consulting, audit, penetration testing, red-team, compliance, incident-response and related engagements.
• Products — the Nightprill exposure-monitoring service, the Scrytide vulnerability-scanning service, and the Coldshim trading-strategy validation service, including their client portals.
• Strategy — a trading indicator, a coded strategy (e.g. a Pine Script) or a trade list that you submit to Coldshim for validation.
• Order — a proposal, quote, engagement letter or subscription accepted by you.
• Perimeter / Scope — the domains, brands, addresses, IPs, keywords, partners or targets you declare and authorise for monitoring or testing.
• Deliverables — reports, findings, evidence and other materials we produce for you, including a Coldshim validation report.

2. Scope of Services and Products

We provide the Services and Products described in the applicable Order. Descriptions on our website are indicative; the Order defines what is actually provided. We may improve or modify the technical means used to deliver a Product, provided the contracted functionality is not materially reduced.

Authorisation. For any testing or monitoring, you confirm that you own the declared Scope or are duly authorised to have it tested or monitored, and that you have the lawful basis to request it — including where it concerns named individuals or third parties. You will provide this authorisation in writing before work begins.

Coldshim. Coldshim validates a Strategy you submit by replaying it on real broker market data, with real costs, against random-draw controls, and returns a verdict (ROBUST, REJECTED or INCONCLUSIVE) together with a report. Coldshim evaluates the statistical and technical robustness of a Strategy on historical data. It does not advise on, endorse, manage or recommend any trade, instrument, portfolio or investment. Section 8 applies to every use of Coldshim.

3. Your Obligations

• Provide accurate Scope information and any access reasonably required.
• Use the Products and Deliverables lawfully, and not resell or redistribute them without our written consent.
• Keep your portal access credentials confidential.
• Ensure you have the right to declare any third party or named individual within your Scope, and to receive information concerning them.
• When you submit a Strategy to Coldshim, confirm that you own it or are authorised to submit it for analysis, and that doing so infringes no third party's rights.

4. Fees, Billing and Term

• Product subscriptions are billed annually in advance, for a twelve-month term, unless the Order states otherwise.
• Coldshim validations may be ordered per strategy or under a subscription, as set out in the Order.
• Services are billed as set out in the Order (fixed fee or time-and-materials at the agreed day rate).
• Fees are exclusive of applicable taxes.
• Late payment may lead to suspension of the affected Product or Service after notice.
• Unless either party gives notice before the end of a term, a Product subscription renews for a further twelve months at the then-current rate.

5. Confidentiality

Each party will protect the other's confidential information and use it only to perform under these Terms. Deliverables, security findings and your Scope are treated as confidential. This obligation survives termination.

A Strategy, trade list or code you submit to Coldshim is your confidential information: we use it solely to produce your validation, we do not trade on it, and we do not disclose, publish or redistribute it. Any reuse of operational data to improve our Products is anonymised and non-identifying (Section 7).

6. Data Protection

Personal data is processed in accordance with our Privacy Policy. For consulting engagements, where SECURIX acts as a processor on your behalf, the relevant data processing terms are set out in the Order or an accompanying data processing agreement.

7. Intellectual Property

• The Products, their engines, methods and underlying technology remain the exclusive property of SECURIX.
• You retain all rights in any Strategy, code or trade list you submit to Coldshim. We acquire no ownership of it; the Deliverable you receive is the validation report produced for you.
• On full payment, you receive a non-exclusive, non-transferable right to use the Deliverables produced for you, for your internal purposes.
• We may use anonymised, non-identifying information about the operation of our Products to improve them. We will not disclose your identity, your Strategy or your findings.

8. Coldshim — Nature of the Service and Financial Disclaimer

Coldshim is a statistical and technical analysis service. It is not investment advice, financial advice, portfolio management or a financial recommendation. Nothing in a Coldshim verdict, report, score or web page is a solicitation, offer or recommendation to buy, sell, hold or trade any instrument, or to adopt, continue or abandon any strategy.

A verdict describes how a Strategy behaved under our tests on historical data. Past results have no predictive value and do not guarantee any future outcome. A "ROBUST" verdict means the tested edge survived our checks — not that the Strategy will be profitable or safe. You remain solely responsible for your own trading and investment decisions and bear all associated risk. To the fullest extent permitted by law, SECURIX is not liable for any trading or investment loss arising from your use of Coldshim.

Public register. On coldshim.com we publish factual analyses of trading scripts that are already published publicly under an open licence, run with their author's default settings, with the authors anonymised. These analyses describe historical, technical behaviour, carry no predictive value and are not advice. An author who wishes to comment on or correct an analysis may write to us and we will publish the reply, or remove the analysis on reasonable request. Coldshim is not affiliated with, endorsed by or associated with TradingView or any broker; TradingView, MetaTrader and broker names are the trademarks of their respective owners.

9. Warranties and Disclaimers

We perform the Services and operate the Products with professional care and skill, using methods appropriate to the state of the art.

We do not warrant that detection is exhaustive. Cybersecurity monitoring and testing depend on accessible sources, disclosed information and evolving threats. We do not guarantee that every vulnerability, exposure or compromise will be detected, nor that a Product will identify a given incident. A finding not reported does not mean a risk does not exist. For Coldshim, we do not warrant that a Strategy is or will be profitable, nor that a verdict predicts future performance.

Except as expressly stated, the Services and Products are provided without further warranties of any kind, whether express or implied, including any implied warranty of merchantability or fitness for a particular purpose.

10. Limitation of Liability

To the fullest extent permitted by law:

• SECURIX is not liable for any security incident, breach, loss or damage that it did not detect, could not reasonably have detected, or that arises from your systems, decisions or third parties.
• SECURIX is not liable for any trading or investment loss, or for any decision taken on the basis of a Coldshim verdict, report or page.
• SECURIX is not liable for indirect, incidental, special or consequential damages, nor for loss of profit, revenue, data or reputation.
• SECURIX's total aggregate liability arising out of or in connection with the Services or Products, from all causes combined, is limited to the amounts you paid to SECURIX for the affected Service or Product during the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot be excluded by law.

11. Term and Termination

• Either party may terminate an Order for material breach not cured within thirty (30) days of written notice.
• On termination, your right to use the Products ends; we delete or return your data in accordance with the retention periods in our Privacy Policy.
• Fees due for the committed term remain payable.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of Hong Kong, excluding its conflict-of-law rules. The parties will first attempt to resolve any dispute amicably; failing that, the dispute is subject to the competent courts of Hong Kong. If you are a consumer resident in the European Union, you also benefit from any mandatory protective provisions of the law of your country of residence.

13. Changes to These Terms

We may update these Terms. The current version is published on this page with an updated date. Material changes affecting an ongoing subscription take effect at its next renewal.
