Terms of Service

These Terms of Service (“Terms”) govern the provision of services and products by SECURIX LIMITED (“SECURIX”, “we”, “us”) to a client (“you”). They apply to our cybersecurity consulting engagements and to our products Nightprill and Scrytide. By subscribing to a product, or by accepting a proposal or engagement letter, you agree to these Terms. Where a signed agreement exists between you and SECURIX, that agreement prevails over these Terms in the event of conflict.

1. Definitions

  • Services — cybersecurity consulting, audit, penetration testing, red-team, compliance, incident-response and related engagements.
  • Products — the Nightprill exposure-monitoring service and the Scrytide vulnerability-scanning service, including their client portals.
  • Order — a proposal, quote, engagement letter or subscription accepted by you.
  • Perimeter / Scope — the domains, brands, addresses, IPs, keywords, partners or targets you declare and authorise for monitoring or testing.
  • Deliverables — reports, findings, evidence and other materials we produce for you.

2. Scope of Services and Products

We provide the Services and Products described in the applicable Order. Descriptions on our website are indicative; the Order defines what is actually provided. We may improve or modify the technical means used to deliver a Product, provided the contracted functionality is not materially reduced.

Authorisation. For any testing or monitoring, you confirm that you own the declared Scope or are duly authorised to have it tested or monitored, and that you have the lawful basis to request it — including where it concerns named individuals or third parties. You will provide this authorisation in writing before work begins.

3. Your Obligations

  • Provide accurate Scope information and any access reasonably required.
  • Use the Products and Deliverables lawfully, and not resell or redistribute them without our written consent.
  • Keep your portal access credentials confidential.
  • Ensure you have the right to declare any third party or named individual within your Scope, and to receive information concerning them.

4. Fees, Billing and Term

  • Product subscriptions are billed annually in advance, for a twelve-month term, unless the Order states otherwise.
  • Services are billed as set out in the Order (fixed fee or time-and-materials at the agreed day rate).
  • Fees are exclusive of applicable taxes.
  • Late payment may lead to suspension of the affected Product or Service after notice.
  • Unless either party gives notice before the end of a term, a Product subscription renews for a further twelve months at the then-current rate.

5. Confidentiality

Each party will protect the other’s confidential information and use it only to perform under these Terms. Deliverables, security findings and your Scope are treated as confidential. This obligation survives termination.

6. Data Protection

Personal data is processed in accordance with our Privacy Policy. For consulting engagements, where SECURIX acts as a processor on your behalf, the relevant data processing terms are set out in the Order or an accompanying data processing agreement.

7. Intellectual Property

  • The Products, their engines, methods and underlying technology remain the exclusive property of SECURIX.
  • On full payment, you receive a non-exclusive, non-transferable right to use the Deliverables produced for you, for your internal security purposes.
  • We may use anonymised, non-identifying information about the operation of our Products to improve them. We will not disclose your identity or your findings.

8. Warranties and Disclaimers

We perform the Services and operate the Products with professional care and skill, using methods appropriate to the state of the art.

We do not warrant that detection is exhaustive. Cybersecurity monitoring and testing depend on accessible sources, disclosed information and evolving threats. We do not guarantee that every vulnerability, exposure or compromise will be detected, nor that a Product will identify a given incident. A finding not reported does not mean a risk does not exist.

Except as expressly stated, the Services and Products are provided without further warranties of any kind, whether express or implied, including any implied warranty of merchantability or fitness for a particular purpose.

9. Limitation of Liability

To the fullest extent permitted by law:

  • SECURIX is not liable for any security incident, breach, loss or damage that it did not detect, could not reasonably have detected, or that arises from your systems, decisions or third parties.
  • SECURIX is not liable for indirect, incidental, special or consequential damages, nor for loss of profit, revenue, data or reputation.
  • SECURIX’s total aggregate liability arising out of or in connection with the Services or Products, from all causes combined, is limited to the amounts you paid to SECURIX for the affected Service or Product during the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot be excluded by law.

10. Term and Termination

  • Either party may terminate an Order for material breach not cured within thirty (30) days of written notice.
  • On termination, your right to use the Products ends; we delete or return your data in accordance with the retention periods in our Privacy Policy.
  • Fees due for the committed term remain payable.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of Hong Kong, excluding its conflict-of-law rules. The parties will first attempt to resolve any dispute amicably; failing that, the dispute is subject to the competent courts of Hong Kong. If you are a consumer resident in the European Union, you also benefit from any mandatory protective provisions of the law of your country of residence.

12. Changes to These Terms

We may update these Terms. The current version is published on this page with an updated date. Material changes affecting an ongoing subscription take effect at its next renewal.
